Terms of Service

These Terms of Service ("Terms") constitute a binding agreement between you ("User") and QuantM Alpha Inc., doing business as CrewCentral, a Panama corporation ("CrewCentral", "we", "us", or "our"). These Terms govern your access to and use of the CrewCentral platform, including any websites, mobile applications, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
1. Definitions
1.1. "Account" means the account you create to use the Service.
1.2. "Content" means any data, text, software, music, audio, photographs, graphics, video, messages, or other materials uploaded, posted, transmitted, or otherwise made available through the Service.
1.3. "Job Seeker" means any User seeking employment through the Service.
1.4. "Employer" means any User posting job opportunities or engaging with Job Seekers via the Service.
1.5. "User Data" means all electronic data or information submitted by Users in connection with the Service.
2. Scope of Terms
2.1. These Terms apply to all Users and all use of the Service. Any additional terms or policies referenced herein (e.g., Privacy Policy) are incorporated by reference.
3. Acceptance of Terms
3.1. By creating an Account, accessing the Service, or clicking "I Agree," you agree to these Terms. If you do not agree, you may not use the Service.
4. Eligibility and Account Registration
4.1. You must be at least 18 years old to register and use the Service. Users aged 16–17 may register only with verifiable parental or guardian consent as described in our Privacy Policy.
4.2. You agree to provide accurate and complete information when creating your Account and to keep your Account information up to date.
4.3. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.
5. Provision of Service
5.1. CrewCentral provides an AI-powered platform for job matching, profile creation, applicant tracking, and related recruitment tools.
5.2. All Service features are provided free of charge. No paid features or fees are currently offered.
5.3. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
6. User Content and License Grants
6.1. You retain all ownership rights in Content you submit. By submitting Content, you grant CrewCentral a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform such Content in connection with operating and promoting the Service.
6.2. You represent and warrant that you have all necessary rights to grant the foregoing license and that your Content does not infringe any third-party rights.
7. Data Collection and Monetization
7.1. We collect profile information, usage data, device metadata, and other information necessary to operate the Service.
7.2. We do not collect biometric data or other sensitive traits (e.g., racial or ethnic origin, political opinions, religious beliefs, health data).
7.3. We may aggregate and de-identify User Data and sell or license such aggregated data to third parties. No personally identifiable information will be sold or disclosed.
7.4. User Data is retained for 24 months, unless earlier deleted at your request.
8. Privacy Policy
8.1. Our Privacy Policy, available at /privacy-policy, describes how we collect, use, and share your information and is incorporated herein by reference.
9. Intellectual Property Rights
9.1. All rights, title, and interest in and to the Service (excluding Content provided by Users) are owned by CrewCentral or its licensors. These Terms do not grant you any rights in or to the Service except as expressly set forth herein.
9.2. You may not copy, modify, distribute, reverse-engineer, decompile, or create derivative works of the Service or any portion thereof.
10. Prohibited Conduct
10.1. You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Post false, misleading, defamatory, or discriminatory Content;
- Harass, abuse, or harm another person;
- Upload viruses or malicious code;
- Scrape, harvest, or otherwise collect information about other Users without their consent;
- Attempt to gain unauthorized access to the Service or its systems.
- Send unsolicited or unauthorized advertising, promotional materials, spam, or any other form of unwanted solicitation;
- Use the messaging features to send content that is illegal, harmful, fraudulent, hateful, threatening, or violates any third-party rights;
- Attempt to evade or circumvent any content filtering, spam detection, or other protective measures implemented by us or our service providers;
- Send messages to recipients who have not provided proper consent or who have opted out of receiving communications from you.
11. SMS and Messaging Services
11.1. Consent Required: You must obtain proper consent from recipients before sending any messages through our Service. You may only send messages to individuals who have explicitly opted in to receive communications from you.
11.2. Compliance with Laws: You agree to comply with all applicable laws and regulations regarding electronic communications, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and similar international regulations.
11.3. Opt-Out Requirements: You must provide clear and easy ways for recipients to opt out of receiving messages, including honoring "STOP" replies and similar standard opt-out keywords.
11.4. Message Content: You are solely responsible for the content of messages sent through our Service. We reserve the right to monitor, review, and block messages that violate our policies or applicable laws.
11.5. Third-Party Providers: We use third-party service providers, including Twilio Inc., to deliver messages. Your use of messaging services is subject to their terms and policies as well.
11.6. Social Authentication: We offer social authentication through Facebook, Google, GitHub, LinkedIn, Microsoft, and Apple. When you use these services to sign in, you agree to comply with their respective terms of service and privacy policies. We only collect your email address and basic profile information necessary for account creation and do not access other data from these platforms.
11.7. Prohibited Content: You may not send messages containing illegal content, hate speech, harassment, fraud, malware, or content designed to evade spam filters.
12. Disclaimers and No Warranties
12.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
12.2. CREWCENTRAL DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
12.3. CREWCENTRAL DOES NOT GUARANTEE THE ACCURACY, RELIABILITY, OR QUALITY OF ANY MATCHES, CONTENT, OR THIRD-PARTY SERVICES.
13. Limitation of Liability
13.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CREWCENTRAL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
13.2. CREWCENTRAL'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) $1,000 OR (B) THE TOTAL AMOUNT OF FEES PAID BY YOU TO CREWCENTRAL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. (CURRENT PRICING: $0.)
14. Indemnification
14.1. You agree to indemnify, defend, and hold harmless CrewCentral and its officers, directors, employees, agents, and affiliates from any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to your breach of these Terms or your use of the Service.
15. Termination
15.1. We may suspend or terminate your Account and access to the Service at any time, with or without cause, and with or without notice.
15.2. Upon termination, all rights granted to you under these Terms will cease immediately.
16. Arbitration and Class-Action Waiver
16.1. Arbitration: Except for small-claims court matters or injunctive relief actions, any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its rules.
16.2. Class-Action Waiver: YOU AND CREWCENTRAL AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY, AND NEITHER PARTY MAY BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
16.3. Opt-Out: You may opt out of this arbitration agreement by sending written notice to support@crewcentral.com within thirty (30) days of first acceptance of these Terms.
16.4. Small-Claims Exception: Either party may bring an individual claim in small-claims court if the claim qualifies.
16.5. Injunctive Relief: Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
17. Governing Law and Venue
17.1. These Terms shall be governed by and construed in accordance with the laws of Panama, without regard to conflict of law principles.
17.2. Venue for any court proceeding shall be in the state and federal courts located in Panama City, Panama.
18. Force Majeure
18.1. Neither party shall be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including natural disasters, acts of war, terrorism, labor disputes, or government orders.
19. Assignment
19.1. CrewCentral may assign or delegate its rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without our prior written consent.
20. Severability
20.1. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
21. Waiver
21.1. No waiver of any term or provision of these Terms shall be deemed a further or continuing waiver of such term or any other term.
22. Notices
22.1. We may provide notices under these Terms by email, in-app banner, or posting on our website. You consent to receive notices electronically.
23. Changes to Terms
23.1. We may revise these Terms at any time by posting updated Terms on our website or through the Service. Material changes will be communicated via email, in-app notification, or prominent notice on our website at least 30 days before taking effect.
23.2. Your continued use of the Service after any changes constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.
24. Third-Party Services and External Links
24.1. The Service may contain links to third-party websites, applications, or services, or may integrate with third-party APIs and data sources. We are not responsible for the content, privacy practices, or terms of service of any third parties.
24.2. Your interactions with third-party services are governed by their respective terms and privacy policies. We encourage you to review these policies before using third-party services.
24.3. Social Authentication Providers: When using social authentication (Facebook, Google, GitHub, LinkedIn, Microsoft, or Apple), you are subject to the terms and conditions of those respective platforms. We recommend reviewing their privacy policies:

24.4. We disclaim all liability for any harm or damages resulting from your use of third-party services or reliance on third-party data.
25. Data Export and User Remedies
25.1. Data Export: You may request an export of your personal data in a commonly used format by contacting us at support@crewcentral.com. We will provide this data within 30 days of your request.
25.2. Account Deletion: You may request deletion of your account and associated data at any time. Upon deletion, your data will be permanently removed within 30 days, except where retention is required by law.
25.3. Data Retention: After account deletion or inactivity, we retain personal data for 24 months for business purposes, then permanently delete it unless legal obligations require longer retention.
26. Accessibility and Support
26.1. Accessibility Commitment: We strive to make our Service accessible to users with disabilities and aim to comply with Web Content Accessibility Guidelines (WCAG) 2.1 Level AA standards.
26.2. Support Channel: For technical support, bug reports, accessibility issues, or general feedback, please contact us at support@crewcentral.com or+1(949)400-3549. We aim to respond to support requests within 48 hours.
26.3. Accessibility Feedback: If you encounter accessibility barriers while using our Service, please let us know so we can work to address them.
27. Jurisdictional Compliance
27.1. COPPA Compliance: Our Service is not intended for children under 13 years of age. We do not knowingly collect personal information from children under 13. If we become aware that we have collected personal information from a child under 13, we will take steps to delete such information.
27.2. GDPR Rights: If you are located in the European Economic Area, you have additional rights under the General Data Protection Regulation (GDPR), including the right to access, rectify, erase, restrict processing, data portability, and object to processing of your personal data.
27.3. CCPA Rights: If you are a California resident, you have rights under the California Consumer Privacy Act (CCPA), including the right to know what personal information is collected, the right to delete personal information, and the right to opt-out of the sale of personal information.

28. Feedback and Suggestions
28.1. Feedback License: Any feedback, suggestions, ideas, or other information you provide to us about the Service ("Feedback") is provided on a voluntary basis.
28.2. You hereby grant CrewCentral a worldwide, perpetual, irrevocable, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Feedback in any media without compensation or attribution to you.
28.3. You represent and warrant that you have all rights necessary to grant the foregoing license and that your Feedback does not infringe any third-party rights.
29. Entire Agreement
29.1. These Terms, together with the Privacy Policy and any other documents expressly incorporated herein, constitute the entire agreement between you and CrewCentral regarding the Service and supersede all prior agreements.
